This Procurement and Supplier Code of Conduct outlines the principles and expectations for our suppliers, contractors, and subcontractors, and applies to all work conducted across our operations in the USA, UK, and selected African countries. It extends to all our partners, contractors, and subcontractors, ensuring ethical behavior, compliance with laws, and the protection of our organization’s reputation.
2. Purpose
The purpose of this Code of Conduct is to:
Establish clear standards for procurement practices and supplier relationships.
Promote ethical, sustainable, and responsible business practices.
Ensure compliance with applicable laws, regulations, and contractual obligations.
Protect the reputation and integrity of Richflood Group.
3. Scope
This code applies to:
All suppliers, contractors, and subcontractors engaged with Richflood Group.
All procurement activities related to the supply of goods, services, and construction.
All work conducted by Richflood Group across our operational regions in the USA, UK, and selected African countries.
4. Ethical Conduct and Integrity
Suppliers, contractors, and subcontractors must:
Conduct their business with honesty, fairness, and integrity.
Abide by the highest ethical standards in all interactions, ensuring that all transactions and relationships are transparent and free from corruption, bribery, or any illegal activity.
Avoid conflicts of interest, and disclose any actual or potential conflicts as per Richflood Group’s Conflict of Interest Policy.
5. Compliance with Laws and Regulations
Suppliers, contractors, and subcontractors must:
Comply with all applicable local, national, and international laws and regulations, including but not limited to environmental, labor, and safety standards.
Ensure compliance with relevant industry standards and best practices.
Ensure that all products and services provided meet agreed-upon specifications and quality standards.
6. Environmental Responsibility
Suppliers, contractors, and subcontractors must:
Actively support sustainable and environmentally responsible practices.
Minimize environmental impact by complying with all environmental laws and regulations in the countries in which they operate.
Take steps to reduce waste, conserve resources, and promote recycling where applicable.
7. Labor and Human Rights
Suppliers, contractors, and subcontractors must:
Uphold the rights of workers, ensuring fair wages, non-discriminatory practices, and safe working conditions.
Prohibit child labor, forced labor, and any form of exploitation or harassment.
Promote equality of opportunity, and respect the dignity of each individual in their workforce.
8. Anti-Bribery and Anti-Corruption
Suppliers, contractors, and subcontractors must:
Not offer, give, or accept any form of bribe or inducement in any business dealings.
Adhere to Richflood Group’s Anti-Bribery and Corruption Policy, ensuring that all transactions and activities are carried out without improper influence or unlawful practices.
Report any suspected instances of bribery or corruption to Richflood Group immediately.
9. Fair Competition
Suppliers, contractors, and subcontractors must:
Engage in fair competition and avoid any form of collusion, price-fixing, or anti-competitive practices.
Ensure that all procurement processes are conducted in an open, fair, and transparent manner.
10. Health and Safety
Suppliers, contractors, and subcontractors must:
Ensure that their operations comply with all applicable health and safety regulations.
Provide a safe and healthy working environment for their employees and all those involved in the delivery of goods or services to Richflood Group.
Take necessary actions to prevent accidents, injuries, and health risks.
11. Confidentiality and Data Protection
Suppliers, contractors, and subcontractors must:
Maintain the confidentiality of all sensitive information received from Richflood Group and its clients.
Comply with all applicable data protection and privacy laws, ensuring the protection of personal and confidential data.
12. Reporting and Monitoring Compliance
Suppliers, contractors, and subcontractors are expected to self-monitor their compliance with this Code of Conduct.
Richflood Group reserves the right to audit and monitor compliance with the Code of Conduct and to take corrective action if any violations are identified.
Suppliers, contractors, and subcontractors must promptly report any violations of this Code of Conduct to Richflood Group through designated channels.
13. Breach of the Code
Failure to comply with this Procurement and Supplier Code of Conduct may result in:
Termination of the contract or business relationship with Richflood Group.
Legal action if the breach involves illegal activities or non-compliance with applicable laws.
Disqualification from future procurement opportunities.
14. Policy Review
This Procurement and Supplier Code of Conduct will be reviewed annually or as needed to ensure it remains relevant, comprehensive, and in alignment with legal requirements and best practices.
15. Acknowledgment
All suppliers, contractors, and subcontractors are required to sign an acknowledgment confirming they have read, understood, and agreed to comply with this Procurement and Supplier Code of Conduct.
